Terms of Membership

for TSB customers

Thank you for your interest in becoming a member. This page (together with our Privacy Policy, Cookie Policy and Terms of Website Use) tells you information about us and the legal terms and conditions (terms) including those on membership of Enterprise Nation, purchase of tickets for workshops and events and any on-line courses (services) and use of e-courses, videos and e-books (products) listed on our website (our site).

These Terms will apply to any contract between us for the sale of products and services to you (contract). Please read these Terms carefully and make sure that you understand them, before applying for membership or purchasing any products or services from our site. Please also note that terms with any third parties as part of your membership are subject to those third parties’ terms.

1. Information about us

1.1. We operate the website www.enterprisenation.com. ‘Enterprise Nation’ is the trading name and registered trademark of Redbrick Enterprises Limited, a company registered in England & Wales, Company No. 04676798 registered office: Column House, London Road, Shrewsbury, Shropshire, SY3 5AL. We are registered for VAT No. GB813 1308 72.

1.2. Contacting us. You may contact us by telephoning our Customer Service team at 020 3871 2922or by e-mailing us at hello@enterprisenation.com, If you wish to give us formal notice of any matter in accordance with these Terms, please see clause 5.7.

2. Use of our site

Your use of our site is governed by our Terms of Website Use. Please take the time to read these, as they include important terms which apply to you.

3. How we use your personal information

We only use your personal information in accordance with our Privacy and Cookie Policy. As a TSB customer who is entitled to 12 months free membership, when completing the registration details you will be asked for your sort code to verify your eligibility. The personal information that you submit on registration will be shared with TSB to confirm that you have taken up the offer.

We also use cookies on our site, details of which can be found in our Privacy and Cookie Policy. Please take the time to read our Privacy and Cookie Policy, as they include important terms which apply to you.

4. Age restrictions

4.1. You may only purchase products or services from our site if you are at least 18 years old.

5. Applying for membership

5.1. Our membership page will guide you through the steps you need to take to become a member. After you complete your application form, you will receive an e-mail from us acknowledging that we have received your form. However, please note that this does not mean that your application has been accepted. Our acceptance of your order will take place as described in clause 5.2.

5.2. We will confirm our acceptance of your application to you by sending you an e-mail acceptance confirmation (acceptance confirmation) with details of your account and login details within 24 hours. The Contract between us will only be formed when we send you the acceptance confirmation.

5.3. Membership options: Depending on the membership you have purchased, we will provide you with access to our portfolio of packages. The following membership schemes are available:

5.3.1. Small business membership with the benefits set out in Appendix A to these terms; or

5.3.2. Adviser membership with the additional benefits as set out in Appendix B to these terms.

5.4. Code of Conduct: all members must comply with the code of conduct in Appendix C and failure to do so will entitle Enterprise Nation to terminate your membership and/or bar you from attendance at events and workshops.

5.5. Payment options: TSB customers who sign up to the Enterprise Nation website receive 12 months free membership. To register the customer will be asked for their full name and sort code, no payment will be taken. At the end of the initial 12 months, members will be notified and asked if they would like to extend their membership. This will be charged at the current full price and is either on a month-by- month basis or for a pre-paid 12-month subscription period (each a “Subscription Period”). Once a member starts paying a subscription will automatically renew at the end of each Subscription Period for another month or 12-month term (each a “Renewal Date”) depending on the payment option you have chosen.

5.6. Ending your subscription: you may terminate your subscription at any time but please note that we do not offer any refunds for unused paid subscription periods.

5.7. You will receive an email notice approximately 30 days (in the case of annual membership) or at after 12 monthly intervals (in the case of monthly membership) prior to the renewal date. The notice will let you know that your current subscription period is about to end, the renewal price and the renewal date when your subscription will be renewed and your account charged. All notices regarding your subscription will be sent to your last email of record. To terminate your subscription without your account being charged for the next term, you must do so before the renewal date. Please keep a record of when your subscription period ends and the next renewal date. You are responsible for terminating your subscription in time regardless of whether you receive any notice from us.

5.8. The renewal payment is due on the renewal date and will automatically be charged using the same payment method that you used for the original subscription or the most recent renewal. Please notify us 3 days before the renewal date of any changes to your email, account or billing information. You will also receive a notice if there are any changes to these Terms.

5.9. You may notify us of your intention to terminate your subscription at any time. Such notice will take effect at the end of the month in which you give notice for monthly membership and at the end of your annual subscription period for annual membership. Access to the on-line membership area will continue until the end of that period. You may notify us of your wish to terminate your subscription by using cancel membership button located within the profile section of your dashboard.

6. Prices and Payment

6.1. Prices. The prices for membership, events and workshops are calculated and payable in advance as set out at the membership or events pages of our site. We shall be under no obligation to provide membership or access to any events until the price has been paid in full.

6.2. Discounts. A TSB member is eligible for free membership for a 12 month period. The discount is only valid for this set period and any renewal of membership will be at the current full price as displayed on our membership page.

6.3. Membership fees and prices of ancillary products, events and benefits may change from time to time, but changes will not affect any order you have already placed.

6.4. If we do not receive payment authorization for a subscription or any authorization is subsequently cancelled, we may immediately terminate or suspend your access to your subscription and may in suspicious circumstances contact the issuing bank and/or law enforcement authorities/other appropriate third parties.

6.5. All prices are expressed inclusive of any VAT payable unless otherwise stated. However, if the rate of VAT changes between the date of your application and the date of acceptance, we will adjust the VAT you pay, unless you have already paid for the membership in full before the change in VAT takes effect.

6.6. You can pay for membership renewal using a debit card or credit card or via direct debit. We accept the following cards: Visa, Mastercard and American Express.

7. Intellectual property

7.1. The content of our site and all products and services sold via our site is protected by copyright, trademarks, database right and other intellectual property rights. You may retrieve and display the content of our site on a computer screen, store such content in electronic form on disk (but not any server or other storage device connected to a network) or print one copy of such content for your own personal, non-commercial use, provided you keep intact all and any copyright and proprietary notices. You may not otherwise reproduce, modify, copy or distribute or use for commercial purposes any of the materials or content on our site or for sale from our site without written permission from us.

8. Our liability

8.1. We only supply membership, product and services for internal use by your business, and you agree not to use any parts of your membership, product and services for any resale purposes.

8.2. Nothing in these Terms limits or excludes our liability for:

a) death or personal injury caused by our negligence;

b) fraud or fraudulent misrepresentation;

c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or

d) defective products under the Consumer Protection Act 1987.

8.3. Subject to clause 8.2, we will under no circumstances whatever be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract for:

a) any loss of profits, sales, business, or revenue;

b) loss or corruption of data, information or software;

c) loss of business opportunity;

d) loss of anticipated savings;

e) loss of goodwill; or

f) any indirect or consequential loss.

8.4. Subject to clause 8.2, our total liability to you in respect of all losses arising under or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the price of membership.

8.5. Except as expressly stated in these Terms, we do not give any representation, warranties or undertakings in relation to your membership of Enterprise Nation or any ancillary Products or Services. Any representation, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the Products or Services are suitable for your purposes.

8.6. We have a robust quality assurance process to ensure that all content and advice that is provided online and face to face is fit for purpose and to the highest standard. However, it is your responsibility to ensure that membership or an event or any products or services are suitable for your requirements. We are happy to offer advice, but TSB and Enterprise Nation accept no liability in the event that membership or any course content does not meet your requirements. Advisers considered to be suitable for the TSB Enterprise Nation partnership have been vetted by:

1. adviser ratings and reviews from clients

2. Telephone interview with the Enterprise Nation Head of campaigns

3. Delivery of training to ensure consistency in advice and ongoing updates

4. Geographic proximity to SME’s (in case of TSB proximity to pilot branches)

In addition they shall be invited to attend a face to face adviser meeting to connect with the other trainers forming part of the pilot and connect with TSB branch managers

In most cases, Enterprise Nations head of campaigns has met with the individual adviser to confirm their credibility and overseen their training at a small business meet-up or event to get first hand reassurance that they deliver quality advice.

8.7. We give no guarantee that by attending and/or completing an on-line course that you will experience success in any business or activity that you may carry on following the course.

8.8. We make no promise that materials on our site are appropriate or available for use in locations outside the United Kingdom, and accessing our site from territories where its contents are illegal or unlawful is prohibited. If you choose to access our site from locations outside the United Kingdom, you do so on your own initiative and are responsible for compliance with local laws.

8.9. Our site contains links to external internet websites as part of the products and services on offer as part of your membership package. Whilst we have chosen them to the best of our knowledge and belief, we do not endorse or guarantee in any way advice given by Adviser members, the external organisations, services, advice, or products included in these external website links nor do we control or guarantee the accuracy, relevance, timeliness, or completeness of the information contained in them. All services offered by external service or product providers are subject to their terms of business. You are therefore responsible for checking those terms of business and Enterprise Nation has no responsibility in this regard.

9. Events outside our control

9.1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 9.2.

9.2. An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.

9.3. If an Event Outside Our Control takes place that affects the performance of our obligations under a Contract:

a) we will contact you as soon as reasonably possible to notify you; and

b) our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Products to you, we will arrange a new delivery date with you after the Event Outside Our Control is over.

9.4. You may cancel a Contract affected by an Event Outside Our Control. To cancel please contact us on hello@enterprisenation.com.

10. Other important terms

10.1. We may transfer our rights and obligations under a Contract to another organisation, but this will not affect your rights or our obligations under these Terms.

10.2. You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.

10.3. This Contract is between you and us. No other person shall have any rights to enforce any of its terms.

10.4. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

10.5. If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

10.6. Communications between us

10.6.1. Any notice or other communication given by you to us, or by us to you, under or in connection with the Contract shall be in writing and shall be delivered personally, sent by prepaid first class post or other next working day delivery service or e-mail.

10.6.2. A notice or other communication shall be deemed to have been received: if delivered personally, when left at our registered office; if sent by pre-paid first class post or other next working day delivery service, at 9.00 am on the second Business Day after posting or if sent by e-mail, one Business Day after transmission.

10.6.3. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

10.6.4. The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action.

10.7. Applicable law. A Contract and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

10.8. Courts’ jurisdiction. We both irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with a Contract or its subject matter or formation (including non-contractual disputes or claims).

10.9. Enterprise Nation will share all details captured on the Enterprise Nation platform, including sort code, first name, last name and any other business details. Reporting will be confirmed from both parties.

Appendix A – Small Business Membership Benefits

a) Access to a weekly webinar with a ‘business expert’ as selected by Enterprise Nation

b) Access to the Enterprise Nation content library

Including ebooks, recorded webinars, presentations, videos and podcasts.

c) One-to-one advice sessions from Adviser members

  • TSB customers who are members of Enterprise Nation will have the opportunity to meet Digital Advisers in a branch of TSB and have a free consultation session.
  • Small Business members have the opportunity to access free 30-minute consultation calls with Adviser members
  • Members must apply for this service by logging into the members' only area of enterprisenation.com and then visiting an adviser member’s profile and clicking on the ”taster session” button on their profile
  • By clicking this button, a communication will be sent to the Adviser member, who will then be in touch with the Small Business member within 72 hours. A confirmation email will also be sent to the Small Business member advising them of the next steps
  • Enterprise Nation can offer no compensation if Advisers do not get in touch with Small Business members to arrange the consultation calls. If Small Business members have not received a response from their nominated Advisers, they can get in touch with the Enterprise Nation membership team who may be able to assist with the connection
  • Further consultation can be arranged with Advisers on a case by case basis but this must be arranged independently between the Small Business member and Adviser and additional charges for their time may apply

d) Priority access to events

  • From time to time, if an event hosted by Enterprise Nation is likely to be oversubscribed, Enterprise Nation may choose to release tickets for sales only to members, before opening general sales up to non members

e) Discount on events

  • Enterprise Nation members receive 25% discount on Enterprise Nation hosted events. There may be occasional exceptions to this, but these exceptions will be clearly stated on the individual event pages
  • Members can access this discount by logging into their account onenterprisenation.com, clicking on 'Events' and using the relevant event link to book their ticket through Eventbrite. The discount will have been already applied to these links, only accessible when logged into their membership account
  • If you would like a refund for your event ticket, you must request this 48 hours in advance before the start date of the event. No refunds are available after this time. Refund requests are submitted by emailing hello@enterprisenation.com

f) Opportunities to feature on Enterprise Nation blog, TV, and at events

  • On occasion, members may be approached by Enterprise Nation with opportunities to feature on Enterprise Nation channels, including the Enterprise Nation blog, Enterprise Nation videos, or to appear at events hosted or publicised by Enterprise Nation
  • Opportunities to appear on all online / offline content will be determined by Enterprise Nation
  • All content, whether online or offline, including presentations delivered at events are to be approved by Enterprise Nation before being uploaded or given
  • All online content must be in line with Enterprise Nation's creative guidelines

g) Access to Digital MOT

Multiple choice questions which will access business success across a number of different areas and provide recommendations.

h) Opportunity to take part in missions so as to meet policy makers and big brand buyers

  • 'missions' refers to our series of events giving members the opportunity to present their products or services to retail buyers
  • These events are part of our regular event programme and will be listed and available for booking at www.enterprisenation.com/events or via the “meet the buyer” campaign at www.enterprisenation.com/campaigns/meet-the-buyer
  • Enterprise Nation can offer no guarantees of contracts formed or orders placed by retail buyers for members products or services
  • On occasion, Enterprise Nation will offer an event opportunity for members to meet with or hear government representatives speak on policy-relevant topics. These events are part of our regular event programme and will be listed and available for booking at www.enterprisenation.com/events or promoted via the member bulletin sent each Monday.

i) Deals, offers, updates and opportunities through our weekly member bulletin

Our weekly member bulletin is sent to members every Wednesday and contains important information relating to events, opportunities, special offers and promotions which you need to know about in order to take full advantage of your membership.

Appendix B- Benefits for Adviser Members

All of the benefits of Small Business Members plus the following benefits:

a) Opportunity to host an Enterprise Nation webinar

  • Adviser members have the opportunity to be considered to host one of the weekly webinars , provided for the benefit of Small Business members
  • Advisers must be an active, paid member to be considered
  • Opportunities to host will be determined by Enterprise Nation
  • All content and subject matter is to be discussed with Enterprise Nation ahead of the webinar and approved for presentation
  • Advisers are unable to overtly 'sell' their services to viewers, but may demonstrate how their services could be of practical use to help start or grow a business
  • Once an Adviser member has hosted a webinar or workshop, they are unable to host a further one until at least 12 months has passed
  • All content must be in line with Enterprise Nation's creative guidelines which will be provided prior to the webinar.

b) Listing on Enterprise Nation's adviser directory

  • Adviser members are able to list their business and services in order that Small Business members and general visitors to the site can search for appropriate support within their local area
  • Advisers can upload their listing information in the 'Dashboard' section of enterprisenation.com
  • Advisers can apply to be an 'Approved Adviser' if they have professional indemnity insurance. Advisers will need to demonstrate this uploading a valid insurance certificate to the 'My Profile' section of enterprisenation.com
  • Enterprise Nation members can contact Adviser members by clicking the connecting with and messaging them from their listing page
  • Enterprise Nation members can leave a review of a listed Adviser member by once they have completed a service or taster session.
  • An Adviser is able to respond to any review left through the 'My Account' section of enterprisenation.com
  • Enterprise Nation cannot enter into any conversations in reference to arrangements, contracts or discussions which may take place between Adviser members and other users.

c) The provision of free 30-minute consultations for Small Business members

  • Advisers can provide the one-to-one consultations offered as a benefit for Small Business members, as presented in Appendix A, clause c) of this document
  • By agreeing to offer members free consultation calls, an Adviser is required to offer 30 minutes of advice to a Small Business member by phone
  • Advisers will be notified if a member has requested a free consultation call by the receipt of an email to the email address given within the 'My profile' section of enterprisenation.com. This email will contain the contact details of the Small Business member and the category they require advice on
  • It is the responsibility of the Adviser to contact the Small Business member within 72 hours of receipt of the email to arrange the call
  • Enterprise Nation can offer no guarantee of further paid for business resulting from the free consultation call
  • Enterprise Nation cannot enter into any conversations in reference to arrangements, contracts or discussions which may take place between members during the consultation call
  • Enterprise Nation cannot enter into discussions on relevant pricing for services
  • Small Business members are not required to pay for Adviser's advice or services within the 30 minute call and an Adviser is responsible for closing the conversation after this time period in the interest of both parties

d) Deals, offers, updates and opportunities through our weekly member bulletin

Our weekly member bulletin is sent to members every Wednesday and contains important information relating to events, opportunities, special offers and promotions which you need to know about in order to take full advantage of your membership.

Appendix C – Code of Conduct

This code of conduct applies to all Enterprise Nation spaces, including: social media, mailing lists and events.

Enterprise Nation is dedicated to a harassment-free experience for everyone, regardless of gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, or religious opinions. We do not tolerate harassment of participants in our events, in any form, online or offline.

Violations include, but are not limited to:

  • Offensive comments related to gender, gender identity and expression, age, sexual orientation, disability, physical appearance, body size, race, ethnicity, or religion
  • Sexual comments or images in public or directly to event attendees, without permission
  • Sustained disruption of talks or other events
  • Inappropriate physical contact; unwelcome sexual attention
  • Photography or recording of specific participants unless explicit permission has been given.
  • Please note that photography and videoing of presentations is generally permitted, unless stated beforehand
  • We sometimes video and photograph Enterprise Nation events for use on our blog and social media. If you would prefer not to feature in these, please make this known to one of the team at the beginning of the event or by emailing hello@enterprisenation.com in advance.

Anyone asked to cease in any of the behaviour listed above will be expected to comply immediately. On receiving a report of violations, Enterprise Nation staff or event organisers / contractors working on their behalf may take any action they deem appropriate, including warning the offender or expulsion from an event with no refund.
