UBER, VISA AND ENTERPRISE NATION: GRANTS FOR GROWTH TERMS AND CONDITIONS (the Terms and Conditions)

1. The Administrator

Section 2
2. The Programme
2.1. The title of the programme is ‘Grants for Growth’ (the “Programme”).
2.2. The Programme is intended to offer Eligible Businesses credits (“Grants”) towards sustainable packaging, to be spent with an Uber Eats’ preferred packaging partner - Enviropack in London, Bunzl in Madrid and Dinovia in Paris (“Packaging Partners”). The Programme is open to all Eligible Businesses who meet the eligibility criteria (as set out in Section 4). Entry will be by submission (via the Administrator’s Website for each applicable country: enterprisenation.com/grants-for-growth for UK, enterprisenation.com/grants-for-growth/es for Spain, and enterprisenation.com/grants-for-growth/fr for France) of a fully completed application for the Programme in accordance with Section 3 below (each an “Application”).
2.3. The Grants will be funded by Uber B.V., Uber Portier B.V. or an affiliate thereof (the “Sponsor”) and distributed by the Administrator.
2.4. All Applications for Grants received between the Opening Date and Closing Date (as defined in Section 3.1, below) will be assessed by the Administrator (on its own or using a third party agent) for eligibility (in accordance with Section 4).
2.5. The applications with the highest scores will be shortlisted before a panel of judges appointed by the Administrator (which shall include at least one independent judge) (the “Panel”). The Panel will score each Application against the Criteria, and the applicants with the highest scores will be awarded a Grant . The Panel will submit its selection decisions to the Administrator, informing the Packaging Partner of those Applications that should receive the grant having fulfilled the Criteria (the “Successful Applicants”). The offer and acceptance of Grants shall be in accordance with these Terms and Conditions.
2.6. The final decision to offer any Grant will be at the discretion of the Administrator, acting reasonably.
2.7. The names of the judges on the Panel will be available to anyone who requests them via hello@enterprisenation.com, within one month of the end of the Closing Date.
Section 3
3. How to enter
3.1. The Programme will run from 8 June 2023 (“Opening Date”) to 7 July 2023 (“Closing Date”).
3.2. All Applications must be received by the Administrator via the Administrator’s website by no later than 11:59:59 p.m. (GMT) on the Closing Date. All Applications received after the Closing Date will be automatically disqualified.
3.3. All Applications must contain all of the required information set out in the application form on the Administrator’s website. Applications which do not contain all required information will be automatically disqualified.
3.4. There is no charge to use the Administrator's website or to submit an Application. Applicants in the UK only must however create a membership account on the Administrator’s website in order to submit an application. Applicants will be able to delete their account at any time, although a membership account is required to participate in the Programme.
3.5 All UK applicants who complete an Application will receive free access to membership of the Administrator’s website and business support network, as set out in the Administrator’s Terms of Membership.
3.6. The Administrator and the Sponsor are not responsible for any partially-complete or failed Applications, regardless of cause, including, for example, as a result of any equipment failure, technical malfunction, systems, satellite, network, server, computer hardware or software failure of any kind.
3.7. By submitting an application, you, applicants are bound by these Terms and Conditions and confirm that the information provided as part of the application is complete and accurate.
Section 4
4. Eligibility
4.1. The Programme is only open to restaurant owners who meet the following eligibility criteria (an “Eligible Business”):
4.1.1. have a restaurant listed on Uber Eats located in London, Madrid or Paris;
4.1.2. have been trading with Uber Eats for a minimum of 6 months prior to June 1, 2023, with at least five (5) orders received via Uber Eats;
4.1.3. have fewer than five locations and no more than 50 employees per location;
4.1.4. have annual gross revenue in 2022 of less than $3M USD (or local equivalent) per location;
4.1.5. are not associated with any national brands or chains;
4.1.6. are not be undergoing bankruptcy, insolvency, examinership, receivership or any related or similar process;
4.1.7. are not, and do not have a member of their household (whether or not related), or any of immediate family member(s) who is an employee of either the Sponsor or the Administrator. Employees and former employees (who have left less than 6 months prior to the Opening Date) of the Administrator or the Sponsor, their immediate families, members of their household (whether or not related) and any other person professionally connected with the Programme are not Eligible Businesses.
4.3. All Applications will also be assessed by the Administrator on additional questions related to current and future sustainability pursuits.
4.4. Successful Applicants may be requested to share their success story of how they used their Grant, which may be further utilised and published by the Sponsor for various purposes, such as marketing, advertising and PR, and brand awareness.
4.5. The Application must be completed and verified by one of the Eligible Businesses owners, who must be an individual natural person over the age of 18.
4.6. In applying for the Programme, the applicant confirms that they meet the requirements set out in Section 4.1 and that they are eligible to apply for the Programme. Applicants may be required to provide proof that they meet the requirements set out in Section 4.1.
4.7. The Administrator will not accept Applications that are:
4.7.1. automatically generated by a computer;
4.7.2. completed by third parties or in bulk; or
4.7.3. incomplete.
4.8. There is a limit of one Application to the Programme per Eligible Business. Joint Applications are not allowed. In the event of multiple Applications being submitted by an Eligible Business, the first Application only will be considered.
4.9. The Administrator and the Sponsor reserve all rights to disqualify Eligible Businesses from the Programme if their conduct is contrary to the spirit or intention of the Programme or if they provide any false or misleading information in their Application.
4.10 The Sponsor reserves all rights to disqualify Eligible Businesses from the Programme if they are in breach of their services agreement with the Sponsor or the Sponsor’s Community Guidelines, or if any act or omission of the Eligible Business causes harm to the Sponsor’s brand, reputation or business as determined by Sponsor in its sole discretion.
Section 5
5. The Grants
5.1. 60 grants of $10,000 USD (available in local currency) will be offered to the Successful Applicants of the programme.
5.2. The payment of each Grant shall be subject to the following conditions:
5.2.1. provision by the Successful Applicant of proof of any information submitted in the relevant Application, on request of the Administrator;
5.2.2. continued compliance of each Successful Applicant with the criteria for Eligible Businesses set out in Section 4.1 of these Terms and Conditions.
5.2.4. the compliance of the Successful Applicant with the Grant Agreement, once entered into; and
5.2.6. the Successful Applicant setting up an account with the Packaging Partner (if not already set up) and providing the Administrator with the relevant details of such account, along with any other information reasonably requested by the Administrator to facilitate the payment of the Grant.
5.3. There is no alternative award to a Grant. Grants will be available via the country’s associated Packaging Partner.
5.4. Grants are not negotiable or transferable and must be used solely for the purposes detailed by the Successful Applicant in their Application. The Administrator reserves the right to take action to recover the Grant if a Successful Applicant is in breach of these Terms and Conditions or otherwise fails to use the Grant for the specified purposes.
5.5. Successful Applicants will be notified of their success in writing (“Notice”). Successful Applicants that (i) do not fulfil the requirements of Section 5.2, (ii) do not respond to the Notice within 7 days, (iii) decline the Grant 6.4 shall no longer be eligible to claim a Grant and shall be automatically disqualified from the Programme. In such circumstances, and at the sole discretion of the Administrator and Sponsor, the relevant Grant may be offered to the highest-rated runner-up Application (under the Section 2 judging process), subject to the terms of this Section 5.
5.6. Grants may be taxable and Successful Applicants are responsible for declaring and paying any taxes due.
Section 6
6. Successful Applicants
6.1. The decision of the Administrator is final and no correspondence or discussion will be entered into, except with Successful Applicants.
6.2. The Administrator will contact Successful Applicants as soon as practicable after 1 August 2023, using the contact details provided with the Application.
6.5. After the completion of the Programme and the entering into of all Grant Agreements, the Administrator may publish on their websites the names of all Successful Applicants who took part in the Programme and receive Grants, and the Administrator and/or Sponsor may issue press releases or other publicity with details about the Programme and/or Grants.
6.6. If an applicant objects to its details being published or made available, please contact the Administrator at hello@enterprisenation.com.
6.7. The Administrator and Sponsor do not accept any responsibility if any Successful Applicant is unable to take up or declines to accept any Grant or fails to receive notification of or accept a Grant due to any technical issue or as a result of having provided incorrect/incomplete contact details.
Section 7
7. Ownership of Programme entries and intellectual property rights
7.1. The Administrator and Sponsor do not claim any rights of ownership in the content of any Application.
7.2 The Sponsor owns all intellectual property rights in any Programme Promotion (as detailed below).
Section 8
8. Data protection and publicity
8.1. The Administrator will only process personal information submitted to it as set out in its privacy policy.
8.2. Information provided by applicants in the application will be shared with the Sponsor, for the performance of the Programme and, if applicable, to enable the Sponsor to arrange and undertake Programme Promotion (as detailed below). The Sponsor will act as a data controller for the personal data it receives from the Administrator on an applicant’s behalf and that it collects to facilitate an applicant’s Application for and/or participation in the Programme and the Programme Promotion. 8.3. In accordance with Sections 6.5 and 6.6 above, and unless the Applicant exercises its objection right set forth in Section 6.6 above, the Applicant grants the Administrator and the Sponsor the right, with no obligation, to the use of their name, image, photograph, likeness, biographical information, statements attributed to them (if true) and any video footage related to the Programme for all advertising, promotional or other commercial purposes by the Sponsor and the Administrator, their affiliates and/or related third parties in all media now or hereafter known, worldwide and in perpetuity without additional compensation (“Programme Promotion”).
Section 9
9. Disclaimer; Limitation of liability
The Programme, and all the information accessible through it, is provided for informational purposes only on an “as is” and “as available” basis. The Administrator, the Sponsor and their affiliates and agents make no warranties, representations or guarantees of any kind, express or implied, including, but not limited to, in respect of the accuracy, currency, completeness or operation of any information, materials, content, availability, and products shared or used in connection with the Programme. Insofar as permitted by law, the Administrator, the Sponsor and their affiliates and agents disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
The Programme and/or any of its features may be unavailable or interrupted from time to time. The Administrator and the Sponsor are not responsible for any unavailability, interruptions or errors in respect of the Programme, its features or any Grants.
Insofar as permitted by law, the Administrator, the Sponsor and their affiliates and agents will not in any circumstances be responsible or liable to compensate any applicants or accept any liability (whether direct, indirect, special, incidental, exemplary, punitive or consequential) for any loss or damage arising out of or in connection with an applicant’s application to, or participation in, the Programme (including any Programme Promotion), whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise, and whether or not the Administrator or the Sponsor, their affiliates or agents have been advised of the possibility of such loss or damage. Statutory rights are not affected.
Section 10
10. General
10.1. If there is any reason to believe that there has been a breach of these Terms and Conditions, the Administrator and the Sponsor may, at their sole discretion, reserve the right to exclude any applicant from participating in the Programme.
10.2. The Administrator reserves the right to hold void, suspend, or amend the Programme (including these Terms and Conditions) where it becomes necessary to do so for reasons outside the Administrator's control. The Sponsor reserves the right to hold void, suspend, or amend the Programme (including these Terms and Conditions) where it becomes necessary to do so as determined in its sole discretion.
10.3. The Terms and Conditions shall be governed by English law, and the parties submit to the exclusive jurisdiction of the courts of England.
